Terms of Service

These Terms of Service (“Terms”) govern your access to and use of The Listing Charts platform, website, applications, and related services (collectively, the “Service”), operated by Listing Charts, LLC (“Listing Charts,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility & Account Responsibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account
credentials and all activities conducted through your account.
2. Nature of the Service
The Service provides data visualization tools, including proprietary scatterplots and analytical interfaces, designed to assist real estate professionals in analyzing real
estate market information and in conveying that information to their customers. You acknowledge that:
•We do not create or own MLS data.
•The Service transforms, organizes, and visually presents data in
proprietary ways.
3. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and
use the Service solely for your internal business purposes during the term of your subscription. No rights are granted except as expressly stated.
4. Ownership of Intellectual Property
All rights, title, and interest in and to the Service, including but not limited to:
•Scatterplot designs and visualizations,
•Chart layouts, axes, color schemes, symbols, and annotations,
•User interface and user experience designs,
•Dashboards, workflows, and screen arrangements, and
•Text, documentation, and instructional materials.
are and shall remain our exclusive property and are protected by U.S. and international intellectual property laws. Nothing in these Terms transfers our ownership
rights to you.
5. Restrictions on Use
You agree that you will not directly or indirectly:
•Copy, reproduce, imitate, or replicate the Service or its visual elements,
•Use the Service or its outputs to develop or enhance a competing product,
•Reverse engineer, decompile, disassemble, or analyze the Service or its
underlying logic,
•Scrape, extract, harvest, or systematically collect visual or functional
elements,
•Create derivative works based on the Service or its charts,
•Share access credentials or permit unauthorized third-party access
including Team Member access, or
•Use screenshots, exports, or reproductions of charts in commercial software products.
Any use outside the scope of the license granted herein is strictly prohibited.
6. User Data & Uploaded Content
You retain ownership of data you upload to the Service. However, you grant us a limited license to process, display, store on your behalf, and transform such data solely to provide the Service. You represent that you have all necessary rights to upload such data. We are relying on your representation.
7. Fees & Subscription Terms
Access to the Service may require payment of subscription fees. Fees are non-refundable except as required by law or expressly stated otherwise. We reserve the right to modify pricing with reasonable notice.
8. Termination
We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination:
•Your license to use the Service immediately ends,
•You must cease all use of the Service, and
•Sections relating to IP ownership, restrictions, disclaimers, and liability survive.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” LISTING CHARTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTING CHARTS SHALL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES,
INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.
11. Indemnification
You agree to indemnify, defend and hold harmless Listing Charts from any claims against us arising out of any misuse of the Service or violation of these Terms on your
part.
12. Governing Law & Venue
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Venue shall lie exclusively in state or federal courts
located in Jacksonville, Florida.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
